These Terms of Service ("Terms") constitute a legally binding agreement between you, as an individual or entity ("User," "you," or "your"), and Smart Tire AI ("Company," "we," "us," or "our"), concerning your access to and use of the smarttireai.com website and any associated services, features, content, applications, or products offered by Smart Tire AI (collectively, the "Services").

Please read these Terms carefully before accessing or using our Services. By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree to all the Terms, then you may not access the Services.

  1. Acceptance of Terms

1.1. By utilizing the Services, you affirm that you are of legal age to form a binding contract and that you accept and agree to be bound by these Terms. 1.2. If you are accessing or using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2.1. Smart Tire AI reserves the right, at its sole discretion, to revise and update these Terms at any time. 2.2. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. 2.3. Your continued use of the Services following the posting of revised Terms signifies your acceptance of and agreement to the changes.

  1. Acceptable Use of Services

3.1. You agree to use the Services only for lawful purposes and in accordance with these Terms. 3.2. You are prohibited from using the Services: (a) In any manner that violates any applicable federal, state, local, or international law or regulation. (b) To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Smart Tire AI or users of the Services. (c) To transmit any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation. (d) To impersonate or attempt to impersonate Smart Tire AI, a Smart Tire AI employee, another user, or any other person or entity. (e) To upload, post, email, transmit, or otherwise make available any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party. (f) To introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. (g) To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.

  1. Intellectual Property Rights

4.1. The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Smart Tire AI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 4.2. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms. 4.3. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally permitted for your personal, non-commercial use. 4.4. The Smart Tire AI name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Smart Tire AI or its affiliates or licensors. You must not use such marks without the prior written permission of Smart Tire AI.

  1. Disclaimer of Warranties and Limitation of Liability

5.1. Disclaimer of Warranties. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SMART TIRE AI HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. NEITHER SMART TIRE AI NOR ANY PERSON ASSOCIATED WITH SMART TIRE AI MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. 5.2. Limitation of Liability. IN NO EVENT WILL SMART TIRE AI, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

  1. Indemnification

6.1. You agree to defend, indemnify, and hold harmless Smart Tire AI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

  1. Termination

7.1. We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. 7.2. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

  1. Governing Law and Jurisdiction

8.1. All matters relating to the Services and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule. 8.2. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in the City of Wilmington and County of New Castle, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

  1. Miscellaneous

9.1. Entire Agreement. These Terms and our Privacy Policy constitute the sole and entire agreement between you and Smart Tire AI regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services. 9.2. Waiver and Severability. No waiver by Smart Tire AI of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Smart Tire AI to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. 9.3. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. 9.4.
